Terms of Service

1. Agreement to Terms

By accessing or using the ArcStack platform, website, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including businesses that integrate ArcStack into their websites (“Customers”) and the end users who interact via the ArcStack messenger (“End Users”).

2. Description of Service

ArcStack is a customer engagement platform that provides businesses with tools for live chat messaging, shared team inboxes, ticket management, and related communication features. The Service includes the ArcStack dashboard, embeddable chat widget, APIs, and any associated documentation.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding the credentials used to access the Service and for all activities that occur under your account.

You must notify ArcStack immediately of any unauthorized use of your account. ArcStack will not be liable for any loss arising from unauthorized use of your account.

4. Subscriptions and Billing

ArcStack offers subscription plans on a per-seat basis. All prices are listed in United States Dollars (USD). Subscriptions may be billed monthly or annually. Annual subscriptions include a discount as described on our pricing page.

Free trials provide full access to the platform and are limited to 50 inbound messages or 7 days, whichever comes first. No credit card is required for a free trial.

You authorize ArcStack to charge the payment method on file for all fees incurred. If payment fails, we may suspend or terminate your access to the Service until payment is resolved.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Send spam, unsolicited messages, or abusive content through the Service
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any aspect of the Service
• Resell or redistribute the Service without written authorization from ArcStack

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ArcStack Technologies Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any content you submit through the Service, but grant ArcStack a limited license to use, store, and display such content solely for the purpose of providing the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

8. Third-Party Integrations

The Service may integrate with third-party services such as Shopify, WhatsApp, ShipStation, and others. Your use of any third-party service is subject to that service’s own terms and conditions. ArcStack is not responsible for the availability, accuracy, or practices of any third-party service.

9. Service Availability and Modifications

ArcStack reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of material changes. ArcStack shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ArcStack Technologies Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising out of or related to your use of the Service.

In no event shall ArcStack’s total liability exceed the amount you paid to ArcStack during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ArcStack Technologies Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

ArcStack may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us or through your account settings.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ArcStack does not warrant that the Service will be uninterrupted, secure, or error-free.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec, Canada.

15. Changes to Terms

ArcStack reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
